Forms Changes Due to NAR Settlement

9/20/24 - The contract packet released on September 6, 2024, originally set to take effect on October 1, 2024, has experienced some additional edits.

Upon releasing this packet, additional necessary technical changes had to be made. We are sorry for any inconvenience or confusion created by these additional changes but felt it better to address these issues before these contracts were released.

Due to the additional edits, the effective date has been pushed back to October 15, 2024.

9/6/24 - Since rolling out the most recent contract changes, Members have submitted feedback and the Forms Committee listened.

Based on the feedback received, it's been decided to eliminate cooperative compensation from most association contracts, effective October 1, 2024. This includes all sale contracts, listing contracts, buyer representation contracts, and related forms. Additionally, the Cooperative Compensation Disclosure (Form #2108), aka CCD, will be sunset. This decision was not made lightly, and the Committee feels it is in the best interest of all member firms and their associates.

Factors leading to the decision are as follows:

  • The real estate industry is witnessing a significant shift. By eliminating references to cooperative compensation, we align our forms and practices with emerging industry norms and the evolving expectations of both buyers and sellers. More importantly, this recommendation dramatically simplifies the process.
  • Many brokerages have determined they will not offer cooperative compensation to buyer agents. These brokerages did not use the cooperative compensation disclosure (aka, CCD), Form #2108, creating confusion and frustration among our members and, ultimately, the consumer.
  • A major factor in not participating in cooperative compensation is the concern of further antitrust scrutiny. With regulators' heightened scrutiny, Civil Investigative Demand (CID) requests from the DOJ to other associations, and the ongoing main DOJ investigation, this change is a proactive measure to ensure our contracts and forms fully comply with potential future legal challenges. This change addresses these concerns and minimizes the risk of a legal challenge to our members and the association.

This change will result in much-needed clarity for buyers seeking assistance from the seller to pay their buyer agent fee. Buyers will most likely request a credit on the sale contract. Removing cooperative compensation should also not be construed as hindering individual brokers and agents from their practice of discussing incentives with their seller.

Seller's Disclosure Statement Revisions Being Postponed

The proposed revised Seller's Disclosure Statement (Form #2091), that was to become effective on July 23, 2024 with the other revised forms, is being held back.  The St. Louis REALTORS Executive Committee voted to postpone the release of this revised form due to the substantial feedback they received.

The Seller's Disclosure Statement (Form #2091), with a release date of July 23, 2024, will be returned to the Contracts and Forms Committee for further review, modification, and formatting.

We will continue using the current Seller's Disclosure Statement (dated 01/20) until further notice.

The other revised forms will be released as previously scheduled on July 23, 2024.

 

Revised Forms Release Date Postponed

After much consideration, the St. Louis Association has decided to postpone the rollout of the new and revised forms (use below bold, blue link to access) to Tuesday, July 23, 2024.

This decision wasn’t arrived at lightly. They are confident they could meet the July 1 date, but multiple platforms are being updated with nearly 20 new and revised forms. A critical part of quality control is reviewing each form for accuracy, which requires some time. This concern for quality control and the availability of sufficient time for our quality review process is paramount. Also, it is critical that members are educated on these changes..

This revised date is strategically placed nine days ahead of MARIS’s implementation of the removal of cooperative compensation in the MLS and the institution of the new requirement for written buyer agreements before property tours.


Contracts/Forms Revisions as of June 4, 2024

There have been a small handful of technical changes to a some of the forms from the earlier revision versions dated May 24.  Click here to review the packet of recent revisions/new forms. 

Pages 2 and 3 of the packet provide a summary of these changes. For those documents that have a redline version, these changes have been incorporated into the redline version as well as the final version.

Please note that those revised forms have 6/4/24 referenced in the footer to distinguish them from all other forms, which have 5/23/24 in the footer. All new and revised forms and contracts have been disseminated to the forms platforms. As such, there will be no further changes before July 1, 2024.

 

These changes will become effective July 23, 2024, and should not be used prior to this date. Also, as a reminder, the previous versions will be discontinued on July 23, 2024.
